🤝 Vendor Agreement

Effective Date: November 2025


This Vendor Agreement (“Agreement”) is entered into between Evexta Innovations Private Limited (the operator of VidhiVidhan.com, hereinafter “Platform”, “We”, or “Us”) and the vendor registering on the Platform (hereinafter “Vendor”, “You”, or “Your”). This Agreement sets out the terms and conditions on which Vendors may provide services or sell products through VidhiVidhan.

1. Definitions

  • Vendor: Any individual, priest/purohit, astrologer, product supplier, temple partner, travel/ pilgrimage provider, author/publisher, or service provider who lists services or products on the Platform.
  • Services: Includes online & on-site poojas, homams, astrological consultations, spiritual coaching, livestreams, recordings, pilgrimage/tour packages, and any vendor-provided services.
  • Products: Physical items sold on the Platform such as idols, gemstones, yantras, books, pooja samagri, and related goods.
  • Users / Customers: Individuals who book services or purchase products via the Platform.

2. Scope & Onboarding

Vendors may apply to list Services and/or Products on the Platform. Acceptance is at the Platform’s discretion and may be subject to background checks, document verification, and compliance with Platform standards.

  • Vendors must complete registration, provide valid identification, address, PAN/GST (if applicable), bank details, and any profession-specific credentials.
  • Vendors must maintain accurate and up-to-date profiles, pricing, availability, and service descriptions.
  • The Platform reserves the right to accept, reject, suspend or remove any Vendor application or listing at any time.

3. Vendor Obligations & Service Standards

  • Perform Services and deliver Products professionally, ethically, and in accordance with cultural and religious norms relevant to the service.
  • Comply with all applicable laws, safety norms, fire regulations (for Homam/Havan), labour laws, and public health requirements.
  • Accurately present prices, inclusions, exclusions, timelines, and cancellation terms on the Platform.
  • Provide credentials, certificates, or product authenticity documents when requested by the Platform or User.
  • Maintain required insurance (professional liability, public liability, or product liability) where applicable and disclose coverage upon request.
Important: For Homam/Havan or on-site rituals, Vendors must verify site safety, secure necessary permissions, and follow local rules. The Vendor is responsible for harm or damage caused due to negligence or non-compliance.

4. Product Standards

  • Products must be genuine, as described, and comply with applicable labeling laws and export/import regulations.
  • Any claims about gemstones, yantras, or religious items must be truthful and substantiated. Certificates (e.g., for gemstones) should be provided if claimed.
  • Vendors must package goods appropriately for safe transit and provide tracking details when dispatched.

5. Pricing, Payments & Commission

  • Vendors set their own prices for Services and Products subject to Platform rules and minimum/maximum pricing (if any).
  • The Platform will invoice or collect payment from Users and remit payouts to Vendors after deducting Platform fees/commission, taxes, chargebacks, refunds and any agreed deductions.
  • Payout schedules and settlement terms will be published separately and may vary; Vendors must ensure bank details are accurate. Delays due to incorrect details are Vendor responsibility.
  • Taxes (GST or others) are handled based on Vendor type and jurisdiction; Vendors are responsible for their own tax compliance.
Important: Platform commissions, promotional discounts, and refunds will be applied before payout. Vendors should review monthly settlement reports and raise discrepancies within the defined timeframe.

6. Booking Changes, Cancellations & Refunds

  • Vendors must adhere to Platform cancellation & refund policies. Any deviation must be pre-approved in writing by the Platform.
  • For time-bound Services (pooja, homam), cancellations close to scheduled time may not be eligible for refunds if Vendor resources were allocated.
  • Refunds due to Vendor fault (non-performance, no-show, substandard service) are Vendor responsibility and may be recovered from future payouts.

7. Ratings, Reviews & Quality Control

  • Users may rate and review Vendor Services and Products. Reviews must reflect honest user experience.
  • Repeated negative feedback can trigger warnings, audits, suspension or removal from the Platform.
  • The Platform may require Vendors to participate in quality training or corrective actions.

8. Liability, Indemnity & Insurance

To the extent permitted by law:

  • Vendors are liable for loss, injury, damage, or claims arising from their negligent acts, omissions or misconduct.
  • Vendors agree to indemnify and hold the Platform harmless from claims, liabilities, losses, and expenses arising from Vendor’s breach, misrepresentation, or illegal acts.
  • Vendors must maintain necessary insurance policies (public liability, professional indemnity, product liability) and provide proof when requested.
Important: Vendors are solely responsible for statutory compliance, safety of rituals (fire safety), product safety, and any claims by Users or authorities.

9. Compliance, Background Checks & Vetting

  • Vendors consent to background checks (identity, criminal records where permitted) and verification of credentials.
  • False, misleading or fraudulent information may lead to immediate suspension or termination and recovery actions.

10. Data Protection & Privacy

  • Vendors will process User data only for service delivery and must follow Platform’s privacy rules and applicable data protection laws.
  • Sensitive personal data (birth time, medical info, religious details) must be handled securely and not shared with third parties without consent.
  • The Platform may share Customer contacts/booking details with Vendors strictly for fulfilling Services.

11. Intellectual Property

  • Vendors retain ownership of their pre-existing IP but grant the Platform a non-exclusive, royalty-free licence to display marketing content, listings, photos and promotional material while the Vendor is active on the Platform.
  • Vendors must not upload infringing content. Claims of IP infringement will be acted upon promptly; repeat infringers may be removed.

12. Dispute Resolution & Termination

  • Parties will attempt amicable resolution for disputes in good faith.
  • Escalation to Platform mediation is available; unresolved disputes may proceed to arbitration or courts as outlined below.
  • The Platform may suspend or terminate Vendor access for breaches, regulatory issues, or at its sole discretion with notice (except in cases of fraud or serious misconduct where immediate action may be taken).

13. Force Majeure

Neither party is liable for failure to perform due to causes beyond reasonable control (natural disasters, government actions, epidemics, strikes, internet or payment failures). Parties must notify each other promptly.

14. Fees, Promotions & Marketing

  • Vendors may participate in Platform promotions and offers; associated costs, discounts and commission structures will be communicated and agreed in advance.
  • Platform reserves the right to run marketing campaigns affecting pricing or payouts with prior notice where practicable.

15. Confidentiality

Each party will keep confidential information (pricing models, buyer lists, trade secrets) secure and not disclose to third parties except as required by law or with consent.

16. Audit Rights & Records

  • The Platform may audit Vendor records related to transactions, compliance, GST, and quality as reasonably required.
  • Vendors must retain relevant records for a minimum period as required by law and provide them on request.

17. Independent Contractor Relationship

Vendors operate as independent contractors; nothing in this Agreement creates an employer-employee relationship, partnership, or agency except as explicitly stated in separate written agreements.

18. Publicity & Use of Platform Branding

  • Vendors may not use Platform trademarks or make public claims implying ownership or exclusive partnership without written permission.
  • Press releases or public statements concerning the Platform or promotions should be coordinated with the Platform team.

19. Governing Law & Jurisdiction

This Agreement is governed by the laws of India. Any dispute not resolved amicably shall be subject to the exclusive jurisdiction of courts in Gurugram, Haryana, unless agreed otherwise in writing.

20. Amendment

Platform may update terms, policies, commission structures, or rules from time to time with notice. Continued use after notification implies acceptance of the updated terms.

21. Acceptance & Signature

By registering as a Vendor on VidhiVidhan.com and accepting this Agreement electronically, you confirm that you have read, understood and agree to be bound by its terms.
